Contractor Agreement
Version 0.1-draft · prepared 2026-10-11 · current version
About this agreement
This agreement sets out how you work with Tradey as a tradesperson. DRAFT: not reviewed by a solicitor.
[DECISION D8 - not yet decided] You are expected to be a self-employed, independent business or limited company, not an employee or worker of Tradey. Employment-status advice is needed before launch.
Who the agreement is with
[DECISION D1 - not yet decided] Tradey is operated by HMD Building & Maintenance Ltd, company number 08870199, registered office Unit 12 King Alfred Way, Cheltenham, England, GL52 6QP (taken from HMDPM's own website material; to be confirmed). Whether you work as that company's subcontractor (customer contracts with it) or directly for the customer is not yet decided and will be stated here.
Applying and vetting
You must give true and complete details: identity, business and VAT details, trades, insurance, qualifications and DBS status. Uploading a document is not verification; the office checks and approves each item and may ask for more.
You cannot receive offers, accept jobs or start work until the office approves you, and approval can be withdrawn, paused or refused with reasons.
[DECISION D10 - not yet decided] Safeguarding and DBS requirements by type of work have not been set.
Insurance and qualifications
You must keep valid insurance and any qualifications needed for your trades, and upload renewals before they expire. If insurance or a trade certificate expires you are automatically not eligible for new work until a current document is uploaded and verified by the office.
[DECISION D2 - not yet decided] The required cover types and limits have not been set.
Conduct, safety and safeguarding
Treat customers and their homes with respect, arrive on time, wear identification, work safely and leave the site tidy. Do not ask a customer to pay you directly, in cash or outside Tradey for work arranged through Tradey.
Report any safety concern, unsafe property, aggressive behaviour or incident through the app straight away. Follow the safeguarding rules for vulnerable occupants.
Rates, commission and payouts
Your hourly rate is agreed with the office when you are approved, shown excluding VAT, with your VAT status shown separately. It is separate from the marketplace payout rules.
For a callout you are entitled to £49.50, which is half of the standard £99 callout. This does not change when a customer receives the senior discount; Tradey funds that discount. For approved, paid additional work you are entitled to 90% and Tradey retains 10%.
Payouts are made through Stripe Connect once the job is completed and confirmed and the customer's payment has been received. You must complete Stripe's identity checks. [DECISION D9 - not yet decided] Payout timing and the treatment of refunds or chargebacks after payout are not yet set.
Extra work, codes and completion
Extra work needs the customer's approval and separate payment before you carry it out, using the authorisation code. Work is completed by the customer's completion code. You must not share or ask for codes except as the app directs.
Damage, complaints and reviews
[DECISION D2 - not yet decided] Who handles and pays for damage claims is not yet set.
Customers can complain about your work and rate you, privately or publicly (their choice). You can rate customers. Low ratings never suspend you automatically; the office looks at the facts. You cannot remove or block a review, but you can report one and appeal a moderation decision.
Suspension and ending the agreement
The office can suspend or end your access for good reason (for example expired insurance, serious complaints or a safeguarding concern) and will record the reason. You can stop working with Tradey at any time after finishing accepted jobs. [DECISION D8 - not yet decided] Notice terms are not set.
Your information
How we handle your documents and details is in the Privacy Notice. Your identity, date of birth and DBS documents are visible only to authorised office staff. Customers never see them.
Changes and your rights
We will publish a new version if this agreement changes and ask you to accept it. Nothing here removes rights you have by law.
Open decisions for legal review
- D1. Who contracts with the customer, and who is responsible for the work. The current payment flow takes the customer's payment into Tradey's account and pays the contractor afterwards, which resembles Tradey acting as the seller (principal). The alternative is Tradey as a marketplace/agent with the contractor as the seller. The consumer-law consequences differ (who gives pre-contract information, who must put things right, who is liable). The drafts are written so the choice is visible; they do not assume it.
- D2. Insurance and liability arrangements. No insurance details are recorded in the business configuration. Needed: public liability cover and limits held by Tradey/HMD, what each contractor must hold, who handles damage claims, and any excess. No limits of liability are drafted; statutory rights cannot be excluded.
- D8. Contractor status and structure. Confirm contractors are self-employed/independent businesses (not employees or workers), the exact contracting entity, and any minimum-notice, exclusivity or area terms. Employment-status advice recommended.
- D9. Commission, payout timing and recovery. Draft states the agreed splits (50% of the callout entitlement, 90% of approved additional work) and that the senior discount is funded by Tradey. Needed: payout timing, handling of refunds/chargebacks after payout, and any recovery rights.
- D10. Safeguarding and DBS requirements. Vetting records DBS status; no policy states which work needs which DBS level or how vulnerable-occupant visits are handled. Needed before public launch.
